Introduction
These Terms and Conditions (‘Terms’) set out the basis on which C&S Healthcare Solutions Ltd (‘Provider’, ‘we’, ‘us’, ‘our’)
supplies its digital training packages and related resources (‘Products’) to you (‘Customer’, ‘you’, ‘your’). By ordering,
accessing, or using our Products or website, you agree to these Terms.

Definitions
‘Products’ refers to all downloadable or online materials, including care plans, lesson plans, PowerPoints, competency
booklets, and any other associated resources. ‘User’ means any individual authorised by the Customer to use the
Products under the licence granted. ‘Website’ refers to the C&S Healthcare Solutions Ltd website and any related domains.

Ordering & Acceptance
Orders are only binding when confirmed in writing by us, and payment is received in full or as agreed. We reserve the
right to refuse any order or terminate access if misuse or breach is suspected.

Licence & Permitted Use
Upon purchase, you are granted a limited, non-exclusive, non-transferable licence to use the Products strictly for the
number of users and period specified. Products may be used solely for internal training within your organisation and not
shared or exploited outside of licensed use.

Intellectual Property
All copyright and intellectual property rights in the Products remain vested in C&S Healthcare Solutions Ltd or its licensors. No
ownership is transferred. Any unauthorised use, reproduction, or adaptation is strictly prohibited and may result in legal
action.

Website Use & Security
You must not use the website or Products for unlawful purposes, attempt to gain unauthorised access, or interfere with
operation or security. We strive to keep the website secure but cannot guarantee uninterrupted service.

Delivery & Access
Products are delivered digitally after payment, via secure download, email, or account. You are responsible for system
compatibility. Access credentials (if provided) are personal and must not be shared.

Fees, Payment & Refunds
Fees are as published or agreed. All payments are due in full before access. Refunds are not provided after
download/access except as required by law. Report any issues within 7 days of purchase.

Warranties & Disclaimers
Products conform to description and are for training only. No medical, clinical, or legal advice is given. All other
warranties are excluded to the extent permitted by law.

Limitation of Liability
Our total liability for any loss or damage arising under or in connection with these Terms shall not exceed the total paid
for the Product. We are not liable for indirect or consequential losses.

Data Protection & Privacy
Personal data is processed in accordance with UK law and our Privacy Policy. We do not store payment details;
payments are processed securely.

Termination
We may suspend or terminate access immediately if you breach these Terms. Upon termination, rights granted cease
and you must delete/destroy any Products.

Force Majeure
We are not liable for failure or delay due to events beyond reasonable control (fire, flood, pandemic, outages,
government action, etc).

Changes to Terms
We reserve the right to amend Terms at any time. Updated Terms are posted on the website. Material changes notified
to licence holders.

Entire Agreement & Severability
These Terms, invoice, and written agreement are the entire agreement. If any part is invalid, the rest remains in force.

Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales, with disputes subject to their courts.
